A law firm's checklist before talking to an AI data buyer
Short answer: Before a call, list your systems, decide with ethics counsel what's out of scope, read engagement letters and outside counsel guidelines, and agree an NDA. Don't send samples until scope and contract terms are settled.
Before the call
- Inventory systems: email, document management, practice management, billing, chat.
- With counsel, mark client-related data as out of scope (Rule 1.6).
- Read engagement letters and client guidelines for limits on vendors and data use.
- Check your state bar's guidance on AI.
- Ask for an NDA and a written description of the license: exclusivity, duration, de-identification, deletion.
Questions to ask a buyer
- Is it a license or a transfer? Exclusive? For how long?
- Who de-identifies, and can we audit a sample first?
- When is the raw upload deleted? (Mode says within 120 days: FAQ.)
